Terms of Service

By accessing or using any website, application, or service operated by JoyX LLC ("JoyX," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our services. These Terms apply to all visitors, users, and others who access or use our services.

JoyX builds and operates focused software products for agent workflows, research intelligence, knowledge management, and local security tooling. Our current product ecosystem includes Keyora (local password and secret generation), Acadora (research intelligence CRM), Evoki (agent portal and handoff layer), and FaveWise (knowledge workspace). Products may be in various stages of development, from active refinement to product planning. The public website at joyx.io serves as an informational portal and does not constitute a product offering or service commitment.

JoyX does not operate a self-serve sign-up or checkout system on this website. Access to JoyX products is provided through workspace agreements negotiated directly with the JoyX team. Each workspace is scoped by use case, team size, security requirements, and product surface. No account creation, payment processing, or automated enrollment occurs through this public portal. If you have been granted access to a JoyX workspace, your use of that workspace is governed by the specific workspace agreement you signed, in addition to these Terms.

All content, software, design, text, graphics, logos, and other materials available through JoyX services are the property of JoyX LLC or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of our software, unless applicable laws prohibit these restrictions or you have our written permission. The JoyX name, logo, and all related product names (including Keyora, Acadora, Evoki, and FaveWise) are trademarks of JoyX LLC. You may not use these marks without prior written consent.

You agree to use JoyX services only for lawful purposes and in accordance with these Terms. You are responsible for maintaining the confidentiality of any workspace credentials provided to you. You must not use JoyX services to transmit any material that is unlawful, harmful, threatening, abusive, or otherwise objectionable. You must not attempt to gain unauthorized access to any part of our services, other accounts, computer systems, or networks connected to our services. You must not interfere with or disrupt the integrity or performance of our services.

JoyX reserves the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We will make reasonable efforts to communicate material changes to workspace clients directly. We do not guarantee that our services will be available at all times or without interruption. Scheduled maintenance, infrastructure updates, and unforeseen circumstances may affect service availability. Product features, interfaces, and capabilities may change as products evolve through development stages.

To the fullest extent permitted by applicable law, JoyX LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: (a) your access to or use of or inability to access or use our services; (b) any conduct or content of any third party on our services; (c) any content obtained from our services; or (d) unauthorized access, use, or alteration of your transmissions or content. Our total liability for any claims arising out of or relating to these Terms or our services shall not exceed the amount you paid to JoyX in the twelve months preceding the claim.

JoyX services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. JoyX does not warrant that our services will be uninterrupted, timely, secure, or error-free. No advice or information, whether oral or written, obtained from JoyX or through our services, shall create any warranty not expressly stated in these Terms.

You agree to defend, indemnify, and hold harmless JoyX LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your violation of any third-party right.

JoyX may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use our services will cease immediately. For workspace clients, termination procedures are governed by the applicable workspace agreement. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which JoyX LLC is organized, without regard to its conflict-of-law provisions. Any disputes arising out of or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

JoyX reserves the right to update or modify these Terms at any time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify workspace clients directly. Your continued use of our services after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
